Terms of Service

These Terms of Service ("Terms") govern your use of the Eterna Claims Group ("Company," "we," "us," or "our") online portal and services related to the purchase of bankruptcy claims. By accessing or using our services, you agree to be bound by these Terms.

1. Services Overview

Eterna Claims Group provides services for the purchase of bankruptcy claims from creditors. Through our portal, eligible creditors may:

• Review offers to purchase their bankruptcy claims
• Complete identity verification
• Submit documentation supporting their claims
• Execute assignment agreements electronically
• Receive payment for assigned claims

2. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have legal authority to act on behalf of the creditor entity
• Provide accurate and truthful information
• Have a valid claim in an eligible bankruptcy proceeding

3. User Representations

By using our services and accepting an offer, you represent and warrant that:

• You are authorized to transfer the claim on behalf of the creditor entity
• The claim has not been previously assigned, sold, or encumbered
• All information you provide is accurate and complete
• You have disclosed any known offsets, defenses, or objections to the claim
• The claim amount represents a valid debt owed by the debtor

4. Payment Terms

Upon successful completion of all required steps and any applicable waiting periods:

• Payment will be initiated within 5 business days after verification and any required court filing period
• Payment will be made via your chosen method (ACH transfer or check)
• You are responsible for any tax obligations related to the payment received
• We will provide tax documentation (Form 1099) as required by law

5. Rescission Rights

If payment is not initiated within the timeframe specified in your Assignment Agreement, you may rescind the assignment by providing written notice to us. Upon valid rescission, all rights to the claim revert to you.

6. Intellectual Property

All content, trademarks, and materials on our portal are owned by or licensed to Eterna Claims Group. You may not copy, modify, or distribute any content without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law, Eterna Claims Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or any claim transaction.

8. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Cook County, Illinois, in accordance with the rules of the American Arbitration Association.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

10. Modifications

We reserve the right to modify these Terms at any time. Material changes will be posted on our website with an updated effective date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

11. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
